These Terms of Use govern the use of the platform and the relationship between the user and the City of Atlantus Enterprises (COA) (hereinafter referred to as “us”, "we", or “our”). The term "you" refers to the person visiting the platform (hereinafter referred to “Platform”).

1.2 Eligibility

To access or use the Platform, you must be at least of legal age in your respective jurisdiction. The Platform is strictly for your personal, non-commercial use unless you enter into a separate agreement with us for your commercial use. You must not use the Platform if we have terminated any account of yours or banned you from the use of the Platform.

2. General Terms

2.1. Risks

You expressly agree that you assume all risks connected to your use of the interface and your interaction with the platform. You further expressly waive and release us from any liability, claims, causes of action, or damages arising from or relating to your use of the interface and your interaction with the Platform. 

You expressly acknowledge and agree that the use facilitates your interaction with decentralized networks and technology and, as such, we have no control over any blockchain or digital assets and cannot ensure that any transaction details you submit or receive via our Platform will be confirmed on the relevant blockchain and cannot effectuate any cancellation or modification requests regarding your transactions.

2.2. Financial or Legal Advice 

The information presented on this platform is created by COA and is intended for general informational purposes only. COA does not offer investment, estate planning, legal, tax, accounting, financial, or any other form of advice through this platform. The content provided on this Platform should not be considered a substitute for seeking advice from professional advisors in the respective fields

This platform and its content should not be interpreted as an offer to sell or a solicitation for the sale of securities or any other product or service. COA is not authorized to sell or solicit the sale of securities in the United States, and its products are not available in any other jurisdiction where such sale or solicitation is prohibited. None of the products described on this platform, or offered by COA, are or will be registered with or approved by the United States Securities and Exchange Commission or any state or jurisdiction's securities commission.

You acknowledge and confirm that you will not utilize any information provided herein for the purpose of offering, selling, soliciting, or assisting in the sale or purchase of any securities in a manner that would violate the applicable laws regarding securities, or any other relevant jurisdiction. Furthermore, you assert that your use of this platform was initiated voluntarily and without any solicitation from us.

3.3 Third-Party Providers

COA neither owns nor controls MetaMask, Trust Wallet, Token Pocket, Google Chrome or any other third-party site, product, or service that you might use to enable you use the various features of the interface. COA shall not be liable for the acts or omissions of any such third parties, nor shall COA be liable for any loss or damage that you may suffer as a result of your transactions or any other interaction with any such third parties.

3.4 Investment Spilt and Rewards

Minting of COA Genesis Key is not to be construed as an ownership or shareholding right of our company. COA reserves the sole right to decide the channel or percentage of reward which may be subject to change from time to time.

3.5 Records

COA Genesis Keys are intangible digital assets that exist only by the ownership record maintained on the Binance Smart Chain. All smart contracts are conducted and occur on the decentralized ledger within the Binance platform. COA has no control over and makes no guarantees or promises concerning the ownership record stored on the blockchain network.

3.6. Updates and Amendments 

We reserve the right to amend these Terms of Use from time to time and disclose such amendment by way of announcement on the website coa.build and mobile applications. We will also update the "Last Updated" date at the top of these Terms without sending a separate notice on the changes. The date when the amendment is made will be indicated on the first page of the amended Terms. You shall browse this website from time to time and follow the information on the time and content of amendments made to these Terms. If you do not agree with the modifications, you shall stop using the services offered by this website immediately; if you continue to use the services provided by this website, it shall be deemed that you accept and agree to be bound by the amended Terms.

4. Our Platform

4.1. Availability and Unavailability Errors

All products are provided “as is”, without guarantees of any kind, either expressed or implied.

We will strive to keep the website up and running; however, all online services suffer from occasional disruptions and outages. We are not liable for any interruption or loss you may suffer as a result. Thus, we do not guarantee that use to the website will not be interrupted or that there will be no delays, failures, errors, omissions, or loss of transmitted information. We will use reasonable endeavors to ensure that you can generally use the platform by the Terms of Use.

We may suspend the access or use of the website for maintenance and will make reasonable efforts to give you notice. You acknowledge that the notice may not be possible in the case of an emergency

4.2. Changes and Restrictions

We reserve the right to make functional, procedural, or technical changes or improvements to the Platform, temporarily or permanently limit or remove functionalities on the Platform, restrict the use of the Platform or terminate the Platform entirely.

4.3. Accuracy of Information

Although the COA Platform has been committed to maintaining the accuracy of the information provided through our product, we cannot and do not guarantee its accuracy, applicability, reliability, integrity, performance, or appropriateness, nor shall we be liable for any loss or damage that may be caused directly or indirectly by your use of these contents.

5. Use of Our Platform

5.1. Credentials

You can access the website via a third-party private key manager selected by you e.g., Metamask, Trust Wallet etc. Security and secure access to the interface are provided solely by the third-party private key manager you select. You and the third-party private key manager are entirely responsible for security related to access to the platform and all information provided by you to such third-party provider.

The login or transaction credentials to access or use the website are strictly personal and should be kept confidential and exclusive to you. You acknowledge that you are responsible for maintaining the strict confidentiality of your account information, including safeguarding your digital assets, and for all activity and transactions posted to your account. You understand that any compromise of your login information may expose your account to unauthorized access by third parties, resulting in the loss or theft of digital assets or funds from your account, including linked accounts.

Using your wallet on our platform is always at your own risk as we will not assume liability for the loss of digital asset(s) stored in or transferred to or from your wallet. This includes but not limited to, unauthorized access by a third party or loss or violation of your private key.

5.3. Link to the service from your website 

You may place one or more links to the platform on your website provided that:

• The Link shall display only the following text: "COA Landing Page" or "coa.build" or "Link to coa.build".

• Your Site shall not contain any unlawful, threatening, abusive, libelous, defamatory, or otherwise inappropriate content, as determined by our sole and absolute discretion.

• The look and feel of all content that accompanies the link (e.g. the entire article in which the link appears) shall not otherwise be of a nature that may damage or dilute the goodwill associated with our name, reputation, or any of its trademarks as determined by us in its sole and absolute discretion.

• No content on your site shall contain any information that in our sole and absolute discretion, may create the false impression that you, your site, or any other website, service, person, or entity is associated with, sponsored by, or otherwise endorsed by COA, or that any activity engaged in by you or anyone else has been approved by COA. 

We may revoke our consent to a link at our sole and absolute discretion without prior notice. If we notify you that you may no longer have the link to the Platform, or a page or document, you must promptly (and, in any event, within three (3) calendar days from the date of our notice) remove all affected links from your site.

6. Products and Currency

6.1. COA Genesis Key: 

The only product available for minting on our platform is the COA Genesis Key. We reserve the right to add or remove other products to our platform. Although we will do our best to give you timely notice before making such changes, we reserve the right to do so without prior notice

6.2. $PRLZ Token Claims:

By purchasing the COA Genesis Key, you become eligible to claim PRLZ tokens in accordance with the terms of use specified in the COA Blackpaper (link to the Blackpaper). Details regarding the claim process and eligibility requirements are provided in the relevant documentation and are subject to change at our discretion.

6.3.  Digital Assets and Currency

While some currencies will be added in the future, the digital currency we support for minting COA Genesis Key is USDT, USDC. Termination or support of a digital currency on our platform is at our sole discretion. If we remove the COA Genesis Key or any digital asset from our platform, any outstanding order will be cancelled.

6.4. Product Terms and Policies: 

By purchasing COA Genesis Keys, you accept the Terms or specifications that apply to the NFT purchased. Additional Terms or specifications per COA Genesis Key token apply as provided on our website.

6.5. Transferability:

You can transfer your COA Genesis Key or PRLZ tokens to another wallet, provided that the receiving wallet supports these assets. The transfer process is subject to the applicable blockchain network or gas fees and any restrictions or requirements outlined in our terms of Use.

7. Minting of COA Genesis Key

7.1. Cancellations And Non-Refundable Policy

You may only cancel an order initiated via the Platform if such cancellation occurs before we execute the transaction. Once your order has been executed, you may not change, withdraw or cancel your authorization for us to complete such a transaction. We reserve the right to refuse any cancellation request associated with a market order once you have submitted such an order. In contrast to exchange orders, all mint orders are irreversible once initiated.

7.2. Minting Pause and Restrictions 

We reserve the right to limit or halt your right to mint COA Genesis Key on the Platform without becoming liable to you for any alleged damages resulting from halting or limiting the minting order.

8. Fees and Withdrawals

8.1. Fees

To complete a purchase for COA Genesis Keys, you must first load funds to your digital wallet and connect to our platform. You acknowledge and agree that gas fees will be charged when you mint on our platform, and such fees may vary. Buy, sell or transfer taxes or transaction fees may be charged on each purchase and such taxes or transaction fees may change from time to time.

8.2. Delay

We exclude the liability for any alleged damages you claim incurred due to a delay in executing your mint request. In some cases, mint requests may not be immediately processed due to unforeseen circumstances. We use our best efforts to execute a mint request within a reasonable time.

9. Application Binary Interface (ABI) Use & Availability

Subject to strict adherence with this Terms of Use and other terms which may be in place between you and COA related to your use of the ABI, COA hereby grants you a limited, revocable, non-exclusive, non-transferable license to use the ABI solely for minting on our platform. You acknowledge and accept that the ABI may not be available at all times. We are not responsible for any wrong orders or other incorrect actions on our platform when using our ABI. COA may, at its sole discretion, suspend, terminate or set a limit to the support and functionality of ABI.

10. Disclaimer and Limitation of Liability

10.1. Limitation of Liability 

Under no circumstances shall we or any of our officers, directors, employees, contractors, agents, affiliates, or subsidiaries be liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages, including (but not limited to) damages for loss of profits, goodwill, use, data, or other intangible property, arising out of or relating to any access or use of the Platform. We will not be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized use of the interface or the information contained within it. We assume no liability or responsibility for any: 

1. Unauthorized access or use of any secure server or database in our control, or the use of any information or data stored therein

2. Personal injury or property damage of any nature whatsoever, resulting from any use of the interface

3. Errors, mistakes, or inaccuracies of content

4. Interruption or cessation of function related to the interface

5. Bugs, viruses, trojan horses, or the likes that may be transmitted to or through the interface 

6. Errors or omissions in, loss or damage incurred as a result of the use of any content made available through the interface; and 

7. The defamatory, offensive, or illegal conduct of any third party. 

Note that under no circumstances shall we or any of our officers, directors, employees, contractors, agents, affiliates, or subsidiaries be liable to you for any claims, proceedings, liabilities, obligations, damages, losses, or costs in an amount exceeding the amount you purchase the COA Genesis Keys.

This limitation of liability applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis even if we have been advised of the possibility of such liability. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain liabilities and damages. Accordingly, some of the disclaimers and limitations outlined in this agreement may not apply to you. This limitation of liability shall apply to the fullest extent permitted by law.

10.2. Indirect Damages

Any liability for indirect damages, including but not limited to consequential damages, loss or damage of data, loss of profits, business opportunity, revenue, or goodwill, as well as the lost of COA assets, is excluded. We will not be liable for “exemplary or punitive damages”.

10.3. Unavailability 

We shall not be liable for any damages you may incur due to the platform or the ABI being (temporarily) unavailable as provided in section 9 of this Terms of Use.

11. Warranties & Indemnification

11.1.   Warranties

You represent and warrant that:

1. You are of sound mind and capable of taking responsibility for your actions and have the full legal capacity to accept these Terms of Use and enter into a transaction involving Blockchain transactions.

2. If you are using our Platform on behalf of your organization, you are authorized to do so. The relevant organization will be liable for your actions, including any breach of these Terms of Use.

3. You have read and understood this Terms of Use in its entirety, acknowledge and accept the risks associated with minting the COA Genesis Keys and the entire project including those risks described in Section 2, and are allowed to ask questions and receive answers from us concerning our Terms of Use before participating.

4. You or any party affiliated with you, are not in any way sanctioned by or under investigation about anti-money laundering laws, counterterrorism financing laws, anti-corruption laws, economic sanction laws, or related regulations.

5. You must not use the website in any way that may cause damage, or impairment of the availability and accessibility of the website in connection with unlawful, illegal, fraudulent or harmful purpose or activity.

6. The digital currency deposit addresses and withdrawal addresses you have provided to us are your own, and you have full control over the wallet addresses.

11.2.   Third-Party Claims

You agree to indemnify us from all third-party claims that may arise or relate to your breach of Terms of Use or other terms that apply to the use of our service on our platform.

12. Storage

Due to the decentralized nature of blockchain technology, all content and information submitted by you is not stored in a centralized server, but in several decentralized nodes. Thus, COA is not Liable for any loss of content or information.

13. Intellectual Property Right

13.1. Ownership

The contents of the Website are protected by International Copyright Laws and other Intellectual Property Rights. The Intellectual Property Rights of our Platform are held by us, our affiliates, or our licensor(s). You may only use the website, and all content derived from the website, including but not limited to, the copyright and all other intellectual property rights in connection with the Services for your personal and non-commercial use according to the Terms of Use.  No part of the website may be reproduced or stored, modified, copied, republished, uploaded, posted, transmitted or distributed by any means or in any manner; or included in any other website or public/private electronic retrieval system or service including text, graphics, video, messages, code and software without our express prior written consent. Nothing in these Terms of Use may be interpreted to constitute a transfer of Intellectual Property Rights from one party to the other.

13.2. Liability

You will be liable to us for any damage, costs, or expenses we suffer or incur that arise out of or in connection with your commission of any of the prohibited acts. You shall notify us as soon as reasonably possible after becoming aware of the commission of any of the prohibited acts and shall provide us with reasonable assistance with any investigations we may conduct as a result of the information provided by you in this respect.

14. Suspension

14.1. Suspension

The remedies available to us in these terms are cumulative and in addition to any other remedies available to us.  We reserve the right to suspend and limit your minting of the COA Genesis Keys if we suspect you have breached these Terms of Use, applicable law, and the minting terms provided on our website. During the investigation of activities, we may limit your trade rights and your deposit and transfer of digital assets. You agree to take full responsibility for any alleged damages incurred or flowing from such suspension.
